Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the neonseedstudios.com website and associated software, platforms, and integration services (collectively, the "Service") operated by NEON SEED STUDIOS INC ("we", "us", or "our").

1. Agreement to Terms

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you do not have permission to access the Service. These Terms apply to all visitors, users, and others who wish to access or use the Service.

If you are accepting these Terms on behalf of a company, agency, or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these terms and conditions, in which case the terms "you" or "your" shall refer to such entity and its affiliates.

2. Provision of Custom Development Services

NEON SEED STUDIOS specializes in engineering custom software architectures, SaaS platforms, and operational integration frameworks tailored for professional service firms. The specific scope, deliverables, project timelines, milestones, maintenance periods, and fees for any custom development projects will be explicitly outlined in separate Statements of Work ("SOWs"), Master Services Agreements ("MSAs"), or Service Level Agreements ("SLAs").

In the event of a direct conflict between these general website Terms of Service and an executed SOW or MSA, the provisions contained within the executed SOW or MSA shall supersede these general Terms to the extent of the conflict.

3. User Accounts and Enterprise Provisioning

When you create an account with us—whether via standard registration or through enterprise Single Sign-On (SSO) provisioning (e.g., SAML, OAuth via Okta, Azure AD)—you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate suspension or termination of your account.

You are solely responsible for safeguarding the password and authentication tokens that you use to access the Service and for any activities or actions under your credentials. You agree not to disclose your password or access keys to any unauthorized third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

4. Intellectual Property Rights and Source Code

The Service and its original content (excluding client-provided data or materials), features, functionality, and underlying platform architectures are and will remain the exclusive intellectual property of NEON SEED STUDIOS INC and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign jurisdictions.

4.1 Custom Deliverables

For custom software engineering engagements, the specific intellectual property rights, source code ownership, and licensing terms regarding the final deliverables will be explicitly defined within the applicable MSA or SOW. Generally, upon full payment of all undisputed fees, intellectual property rights to the custom-developed proprietary operational assets are transferred to the client, subject to the retention of our pre-existing background technology rights.

5. Acceptable Use and Restrictions

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

• In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).
• For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.
• To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail", "chain letter", "spam", or any other similar solicitation.
• To impersonate or attempt to impersonate NEON SEED STUDIOS, a NEON SEED STUDIOS employee, another user, or any other person or entity.
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm NEON SEED STUDIOS or users of the Service or expose them to liability.

Additionally, you agree not to:

• Use the Service in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the Service.
• Use any robot, spider, or other automatic device, process, or means to access the Service for any purpose, including monitoring or copying any of the material on the Service.
• Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service.
• Attack the Service via a denial-of-service attack or a distributed denial-of-service attack.

6. Subscriptions, Fees, and Payment

Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set either on a monthly or annual basis, depending on the type of subscription plan you select when purchasing a Subscription.

At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or NEON SEED STUDIOS cancels it. You may cancel your Subscription renewal either through your online account management page or by contacting our customer support team.

A valid payment method, including credit card or company purchase order (where approved), is required to process the payment for your Subscription. You shall provide NEON SEED STUDIOS with accurate and complete billing information including full name, address, state, zip code, telephone number, and a valid payment method information. By submitting such payment information, you automatically authorize NEON SEED STUDIOS to charge all Subscription fees incurred through your account to any such payment instruments.

Should automatic billing fail to occur for any reason, NEON SEED STUDIOS will issue an electronic invoice indicating that you must proceed manually, within a certain deadline date, with the full payment corresponding to the billing period as indicated on the invoice.

7. Service Availability, Errors, and Inaccuracies

We are constantly updating our offerings of products and services on the Service. The products or services available on our Service may be mispriced, described inaccurately, or unavailable, and we may experience delays in updating information on the Service and in our advertising on other web sites.

We cannot and do not guarantee the accuracy or completeness of any information, including prices, product images, specifications, availability, and services. We reserve the right to change or update information and to correct errors, inaccuracies, or omissions at any time without prior notice.

While we engineer our systems for high availability and adhere to SOC 2 compliance standards, we do not guarantee that the Service will be uninterrupted or error-free. Maintenance windows, updates, and unforeseen technical issues may cause temporary service interruptions.

8. Third-Party Links and Integrations

Our Service may contain links to third-party web sites or services that are not owned or controlled by NEON SEED STUDIOS INC Furthermore, our custom software solutions frequently integrate via API with third-party platforms (e.g., Salesforce, Hubspot, Stripe, Google Cloud).

NEON SEED STUDIOS has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites, API providers, or services. You further acknowledge and agree that NEON SEED STUDIOS shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such web sites or services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party web sites or services that you visit or integrate with.

9. Termination and Suspension

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Service or initiate a formal offboarding process as defined in your MSA. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

10. Indemnification

You agree to defend, indemnify and hold harmless NEON SEED STUDIOS INC and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) Content posted on the Service.

11. Limitation of Liability

In no event shall NEON SEED STUDIOS INC, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

12. Disclaimer of Warranties

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

NEON SEED STUDIOS INC its subsidiaries, affiliates, and its licensors do not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements. (Note: SLA terms for custom enterprise clients are handled separately via executed MSAs).

13. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have had between us regarding the Service.

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
